Welcome to Lumii. These Terms of Service are entered into between you and ALR Lumii Group LLC, a Wyoming limited liability company, doing business under the Lumii brand (“Lumii,” “we,” “us,” or “our”).

Lumii operates this store and website, including all related information, content, features, tools, products, and services, in order to provide you, the customer, with a curated shopping experience (collectively, the “Services”).

Lumii is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you access or use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with, purchasing from, or otherwise using our Services, you agree to be bound by these Terms of Service and our Privacy Policy, available at /policies/privacy-policy.

Please review your order carefully before submitting it. Because fulfillment may begin shortly after an order is accepted, Lumii may be unable to accommodate cancellation or modification requests after acceptance.

If we reject, modify, or cancel an order, we will attempt to notify you using the email address, billing information, shipping information, and/or telephone number provided at the time the order was placed.

You represent and warrant that your purchases are intended for your own personal or household use and not for unauthorized commercial resale or export.

Shipping and delivery dates provided by Lumii are estimates only and are not guaranteed unless expressly stated otherwise in writing.

Lumii is not responsible for delays caused by shipping carriers, freight providers, customs processing, weather, natural disasters, supply-chain disruptions, governmental actions, incorrect delivery information supplied by the customer, or other events outside our reasonable control.

To the extent permitted by applicable law, title and risk of loss pass to you upon transfer of the products to the applicable shipping or delivery carrier.

Any specific shipping, delivery, inspection, loss, or damage procedures provided in another Lumii policy applicable to your order will also apply.

SECTION 6 — INTELLECTUAL PROPERTY

The Services, including without limitation all trademarks, trade names, logos, branding, text, displays, interfaces, photographs, images, graphics, product reviews, videos, audio, product designs, website designs, arrangements, and other content, are owned by or licensed to ALR Lumii Group LLC and are protected by applicable U.S. and international copyright, trademark, patent, trade dress, and other intellectual-property laws.

These Terms permit you to access and use the Services solely for your personal, non-commercial use.

Unless expressly permitted in writing by Lumii, you may not reproduce, distribute, modify, copy, create derivative works from, publicly display, publicly perform, republish, download, store, scrape, or transmit material from the Services.

Except as expressly provided herein, nothing in these Terms grants you a license or other right under any patent, trademark, copyright, trade secret, or other intellectual property belonging to Lumii, Shopify, or any third party.

Unauthorized use of the Services may violate federal, state, and international intellectual-property laws.

All rights not expressly granted are reserved by ALR Lumii Group LLC.

Lumii's names, logos, product names, service names, designs, marks, branding, and slogans are trademarks or intellectual property belonging to ALR Lumii Group LLC or its licensors.

You may not use such intellectual property without prior written permission.

Shopify's name, logo, product names, service names, designs, and slogans are trademarks of Shopify.

All other trademarks appearing through the Services belong to their respective owners.

SECTION 7 — OPTIONAL TOOLS

You may be provided access through the Services to tools or functionality offered by third parties over which Lumii may have no monitoring, control, or input.

You acknowledge and agree that access to such third-party tools is provided “as is” and “as available,” without warranties, representations, endorsements, or conditions of any kind from Lumii.

To the fullest extent permitted by law, Lumii shall have no liability arising from or relating to your use of optional third-party tools.

Your use of third-party tools is entirely at your own risk and discretion.

You are responsible for reviewing and understanding the terms and policies applicable to any third-party provider before using its services.

Lumii may introduce new features, tools, products, resources, or functionality through the Services in the future. Such features will be considered part of the Services and will be subject to these Terms.

Lumii is not responsible for examining or evaluating the accuracy, content, availability, safety, security, products, or practices of third-party websites.

Lumii shall not be liable for harm, losses, or damages relating to your access to third-party websites or your purchase or use of products, services, resources, or content from third parties.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

Lumii is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases made through our store are made directly between you and ALR Lumii Group LLC.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and Lumii, including any injury, damage, or loss resulting from products or services purchased from Lumii.

To the fullest extent permitted by law, you expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or relating to your purchases and transactions with Lumii.

Personal information collected by Lumii through the Services is subject to our Privacy Policy, available at:

Certain personal information may also be subject to Shopify's Privacy Policy.

By using the Services, you acknowledge that you have reviewed the applicable privacy policies.

Information submitted through the Services may be transmitted to Shopify and other service providers, including providers located in jurisdictions outside your state or country of residence, as necessary to process transactions and provide the Services.

If you submit, upload, post, email, review, message, or otherwise transmit ideas, suggestions, reviews, feedback, proposals, plans, photographs, videos, or other content to Lumii (“Feedback”), you grant Lumii a perpetual, worldwide, non-exclusive, sublicensable, transferable, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, display, and otherwise use such Feedback in any medium for lawful purposes, including operating, improving, marketing, and promoting the Services.

You represent and warrant that:

You own or possess all necessary rights to the Feedback;
You have disclosed any compensation or incentive received in connection with the Feedback when legally required; and
Your Feedback complies with these Terms and applicable law.

Lumii is under no obligation to maintain Feedback in confidence, compensate you for Feedback, or respond to Feedback unless otherwise required by law or agreed in writing.

We may, but are not obligated to, monitor, edit, reject, or remove Feedback that we determine violates these Terms or applicable law or is otherwise objectionable.

Feedback may not violate the rights of third parties, including copyrights, trademarks, rights of privacy, rights of publicity, or other proprietary rights.

Feedback may not contain unlawful, abusive, defamatory, obscene, malicious, deceptive, or harmful material, viruses, malware, or other malicious code.

You may not use a false email address, impersonate another person, or otherwise misrepresent the origin of Feedback.

You are responsible for Feedback you submit and its accuracy.

SECTION 12 — ERRORS, INACCURACIES AND OMISSIONS

The Services may occasionally contain typographical errors, inaccuracies, omissions, or outdated information relating to product descriptions, photographs, specifications, pricing, promotions, offers, shipping charges, transit times, availability, or other information.

Lumii reserves the right to correct errors, inaccuracies, or omissions and to change, update, reject, or cancel orders if information relating to an order is inaccurate, including after an order has been submitted, to the extent permitted by applicable law.

SECTION 13 — PROHIBITED USES

You may access and use the Services only for lawful purposes.

You may not access or use the Services, directly or indirectly:

(a) for any unlawful, fraudulent, abusive, or malicious purpose;

(b) to violate any international, federal, state, provincial, or local law, regulation, rule, or ordinance;

(d) to harass, abuse, threaten, insult, harm, defame, slander, disparage, or intimidate any person;

(e) to transmit false, fraudulent, or materially misleading information;

(f) to send, knowingly receive, upload, download, use, or reuse material that does not comply with these Terms;

(g) to transmit or procure unsolicited promotional materials, including spam, junk mail, chain letters, or similar solicitations;

(h) to impersonate or attempt to impersonate Lumii, a Lumii employee, another user, or another person or entity; or

(i) to engage in conduct that restricts or inhibits another person's use or enjoyment of the Services or that may harm Lumii, Shopify, our customers, our partners, or other users.

You further agree not to:

(a) upload or transmit viruses, malicious code, or technology designed to interfere with the Services;

(b) reproduce, duplicate, copy, extract, sell, resell, or commercially exploit unauthorized portions of the Services;

(d) spam, phish, pharm, pretext, or engage in similar deceptive practices;

(e) use unauthorized robots, spiders, scrapers, data-gathering tools, automated systems, AI agents, or other automated or manual methods to extract or access the Services in violation of these Terms; or

(f) interfere with, bypass, defeat, or circumvent security, access-control, authorization, robot-exclusion, anti-bot, CAPTCHA, or similar technological measures.

Lumii reserves the right to suspend, restrict, disable, or terminate access to the Services if we reasonably determine that you have violated these Terms.

SECTION 14 — AGENTS

14.1

This section (“Agent Terms”) applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with the Services.

“Agent” means software or a service that takes autonomous or semi-autonomous actions on behalf of, or at the instruction of, a person or entity and can operate without continuous direct human supervision.

14.2

No Agent may access, use, or interact with the Services unless it identifies itself and operates in accordance with Section 14.4.

No Agent may access, use, or interact with the Services if Lumii has requested that such Agent refrain from doing so.

14.3

Lumii may limit, including through technical measures, whether and how Agents access, use, or interact with the Services.

14.4

Agents must:

Identify themselves in HTTP/HTTPS requests and disclose the name of the Agent using an appropriate user-agent identifier;
Not conceal or misrepresent the fact that access or interaction is being performed by an Agent;
Not attempt to mimic human activity for purposes of circumventing restrictions;
Not improperly complete, bypass, defeat, or circumvent CAPTCHAs or similar systems intended to distinguish human and automated access;
Respond truthfully when asked whether an interaction originates from a human or automated system; and
Not circumvent any measure intended to block, limit, modify, or control Agent access to the Services.

SECTION 15 — TERMINATION

Lumii may terminate or suspend this agreement or your access to some or all of the Services, to the extent permitted by applicable law, if you violate these Terms or otherwise misuse the Services.

You will remain responsible for amounts properly due and payable through the date of termination.

The provisions relating to Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy, and other provisions that by their nature should survive termination will remain effective following termination.

SECTION 16 — DISCLAIMER OF WARRANTIES

Information presented through the Services is made available for general informational purposes.

Lumii does not warrant the accuracy, completeness, reliability, or usefulness of information provided through the Services except where expressly required by applicable law.

Reliance upon such information is at your own risk.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT AS EXPRESSLY STATED BY LUMII, THE SERVICES AND PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

LUMII DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

SOME JURISDICTIONS LIMIT OR PROHIBIT THE DISCLAIMER OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THESE DISCLAIMERS WILL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

SECTION 17 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALR LUMII GROUP LLC, LUMII, OUR MEMBERS, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND.

THIS INCLUDES, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, LOSS OF BUSINESS, REPLACEMENT COSTS, OR SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, ARISING FROM OR RELATING TO:

YOUR USE OF OR INABILITY TO USE THE SERVICES;
PRODUCTS OR SERVICES PURCHASED THROUGH THE SERVICES;
ERRORS OR OMISSIONS IN CONTENT;
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR INFORMATION; OR
OTHER MATTERS RELATING TO THE SERVICES,

EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

SECTION 18 — INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless ALR Lumii Group LLC, Lumii, Shopify, and our respective affiliates, partners, members, officers, directors, employees, agents, contractors, licensors, and service providers from losses, damages, liabilities, claims, demands, judgments, expenses, and reasonable attorneys' fees arising out of or relating to:

Your breach of these Terms or policies incorporated by reference;
Your violation of applicable law or the rights of another person; or
Your unlawful or unauthorized access to or use of the Services.

Lumii will provide reasonable notice of an indemnifiable claim when practicable.

Failure to provide prompt notice will not relieve you of your obligations except to the extent you are materially prejudiced by the delay.

To the extent permitted by law, Lumii may control the defense and settlement of such a claim, including selection of counsel, provided that we will not agree to a settlement imposing material non-monetary obligations directly upon you without your reasonable consent.

You agree to reasonably cooperate in the defense of indemnified claims.

SECTION 19 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by applicable law.

Any unenforceable portion will be deemed severed from these Terms without affecting the validity or enforceability of the remaining provisions.

SECTION 20 — WAIVER; ENTIRE AGREEMENT

Lumii's failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with policies, notices, and operating rules posted by Lumii relating to the Services, constitute the entire agreement between you and Lumii concerning your use of the Services and supersede prior or contemporaneous communications, proposals, representations, and agreements concerning the Services, whether oral or written.

Any ambiguities in these Terms shall not automatically be interpreted against the party responsible for drafting them.

SECTION 21 — ASSIGNMENT

You may not delegate, transfer, or assign these Terms or any rights or obligations arising under these Terms without Lumii's prior written consent.

Any attempted transfer or assignment in violation of this provision may be deemed void to the extent permitted by law.

Lumii may transfer, assign, or delegate these Terms or its rights and obligations in connection with a merger, acquisition, corporate restructuring, financing, sale of assets, transfer of the business, or other lawful transaction, subject to applicable law.

SECTION 22 — GOVERNING LAW

These Terms of Service and any separate agreements through which ALR Lumii Group LLC provides the Services shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-laws principles, except to the extent another jurisdiction's laws are required to apply.

Subject to applicable consumer-protection laws and any jurisdictional requirements that cannot legally be waived, you and ALR Lumii Group LLC consent to personal jurisdiction and venue in the applicable state courts of Wyoming and the applicable federal court for the District of Wyoming.

The headings contained in these Terms are provided for convenience only and do not limit or otherwise affect the meaning or interpretation of these Terms.

Lumii reserves the right to update, modify, or replace portions of these Terms by posting revised Terms through the Services.

When required by applicable law, we will provide notice of material changes.

Unless otherwise stated or required by law, revised Terms become effective when posted or on the effective date identified in the applicable notice.

Your continued use of the Services after revised Terms become effective constitutes your acceptance of the revised Terms.
